Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FaidaFlow platform ("Platform", "Service"), operated by FaidaFlow ("we", "us", "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Definitions
• "User" refers to any individual or business entity that creates an account on FaidaFlow. • "Business Data" refers to financial records, transactions, invoices, customer lists, inventory data, and any other business information entered into the Platform. • "Platform" refers to the FaidaFlow web application, mobile PWA, and associated APIs. • "Subscription" refers to the service tier selected by the User (Free, Pro, or Enterprise).
2. Eligibility
You must be at least 18 years of age and legally authorized to enter into binding contracts in the United Republic of Tanzania (or your jurisdiction of operation) to use the Platform. By registering, you represent that you have the legal authority to bind the business entity you register.
3. Account Registration & Security
• You must provide accurate, complete, and current registration information. • You are solely responsible for maintaining the confidentiality of your login credentials. • You must notify us immediately of any unauthorized access to your account. • We reserve the right to suspend accounts that violate these Terms or exhibit fraudulent activity. • Staff accounts created through FaidaFlow's user management system are the responsibility of the business owner who created them.
4. Acceptable Use
You agree to use FaidaFlow only for lawful business purposes. You must NOT: • Use the Platform for money laundering, tax evasion, or any activity that violates Tanzanian law. • Enter intentionally false financial records designed to mislead auditors, tax authorities, or business partners. • Attempt to reverse-engineer, decompile, or circumvent the Platform's security measures. • Use the AI Assistant to generate fraudulent documents or misleading financial reports. • Share your account credentials with unauthorized individuals. • Overload the Platform with automated requests or excessive API calls beyond fair use limits.
5. Business Data Accuracy & Tax Compliance
• You are solely responsible for the accuracy and completeness of all financial data entered into FaidaFlow. • FaidaFlow is a bookkeeping tool and does NOT provide tax filing, legal, or financial advisory services. • Tax reports generated by the Platform (including TRA-formatted reports) are informational tools. You are responsible for verifying accuracy before submission to the Tanzania Revenue Authority (TRA) or any other regulatory body. • You must comply with all applicable Tanzanian tax laws, including the Income Tax Act, VAT Act, and Electronic Fiscal Device (EFD) regulations. • FaidaFlow does not guarantee compliance with EFD receipt requirements. Where EFD integration is required by law, you must use your registered EFD device alongside FaidaFlow.
6. Intellectual Property
• The FaidaFlow platform, including its design, source code, AI models, logos, and documentation, is the exclusive intellectual property of FaidaFlow. • Your Business Data remains your property. We claim no ownership over data you enter into the Platform. • You grant us a limited, non-exclusive license to process and store your Business Data solely for the purpose of delivering the Service. • You may export your data at any time using the Platform's built-in CSV and PDF export features.
7. Subscription & Fees
• FaidaFlow offers a free tier with limited features and paid subscription tiers (Pro, Enterprise) with expanded capabilities. • Paid subscription fees will be clearly displayed before purchase. • We reserve the right to modify pricing with 30 days' prior notice. Existing subscriptions will complete their current billing cycle at the original rate. • All prices will be displayed in Tanzanian Shillings (TZS) or US Dollars (USD) as applicable.
8. Future Payment Integrations
• FaidaFlow plans to integrate with licensed mobile money services (M-Pesa, Airtel Money), bank transfer APIs, and card payment processors in the future. • When activated, payment processing will be handled by third-party providers licensed by the Bank of Tanzania (BoT) and subject to their own terms and conditions. • You will be required to accept supplementary terms specific to each payment integration before activation. • FaidaFlow acts solely as a facilitator and is not a licensed payment service provider. We do not hold, process, or transmit customer funds. • Transaction fees for payment processing will be clearly disclosed before each payment integration is activated.
9. Service Availability & Limitations
• We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. • Scheduled maintenance will be communicated in advance where possible. • We are not liable for data loss resulting from events beyond our reasonable control, including natural disasters, internet outages, or third-party service failures. • The AI Assistant provides suggestions based on machine learning models and may produce inaccurate results. AI-generated insights should be verified before making business decisions.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY TANZANIAN LAW: • FaidaFlow is provided "as is" and "as available" without warranties of any kind. • We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. • Our total liability for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim. • We are not liable for business decisions made based on reports, insights, or AI recommendations generated by the Platform.
11. Termination
• You may terminate your account at any time through the Platform's settings page. • We may suspend or terminate accounts that violate these Terms, with notice where practicable. • Upon termination, you may export your data within 30 days. After 30 days, your data will be deleted in accordance with our Privacy Policy. • Termination does not relieve you of any obligations incurred during your use of the Platform.
12. Indemnification
You agree to indemnify and hold harmless FaidaFlow, its directors, employees, and agents from any claims, damages, or expenses arising from: • Your violation of these Terms. • Inaccurate or fraudulent data entered into the Platform. • Your failure to comply with applicable Tanzanian tax and business regulations. • Claims by third parties arising from your use of the Platform.
13. Governing Law & Dispute Resolution
• These Terms are governed by the laws of the United Republic of Tanzania. • Any disputes arising from these Terms shall first be resolved through good-faith negotiation. • If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the Tanzania Institute of Arbitrators (TIA). • The courts of Dar es Salaam, Tanzania shall have exclusive jurisdiction for any court proceedings.
14. Modifications
We may update these Terms from time to time. Material changes will be communicated via email and an in-app notification at least 15 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
